Release and Waiver of Liability and Indemnity Agreement

 (Read Carefully Before Signing)

 Under penalty of all applicable law, I swear and affirm that I: 

1. Am not a convicted felon
2. Am not a fugitive from justice
3. Am not on any form of pre-trial release on felony charges
4. Have not been convicted of a misdemeanor crime of domestic violence
5. Have not been adjudicated as a mental defective
6. Do not have a restraining order against me
7. Am not a user of, under the influence of, or addicted to any controlled substance, including marijuana
8. Have not received a dishonorable discharge from the United States Armed Forces
9. Am not an unlawful or illegal alien
10. Have not renounced United States citizenship
11. Am not prohibited for any other reason including but not limited to the aforementioned prohibitions under federal, state or local law in any jurisdiction of the United States from owning or possessing any firearm.

In consideration of being permitted to participate in any way in the courses, events, activities and training with 540, LLC and/or Compass Security LLC (the “Company”) and its instructors, employees, clients, students, members, associates, affiliates and contractors, which participation includes firearms instruction, the discharge of firearms, the use and instruction of various other self-defense-related weapons, tactics, techniques and skills (collectively, and hereafter referred to as “TRAINING”) and/or being permitted to enter, for any purpose, any area where admittance to the general public is prohibited (herein defined as “Restricted Area”), I, either individually as an adult participant, or in the case of a minor participant, as the minor participant’s parent and/or legal guardian, agree:

• As the parent and/or legal guardian of a minor participant, I will instruct the minor participant that prior to participating in the below TRAINING activity or event, he or she should inspect the facilities and equipment to be used, and if he or she believes anything is unsafe, the minor participant should immediately advise a Company official of such condition and REFUSE TO PARTICIPATE.
• As an adult participant, I understand and agree that, if at any time, I feel anything to be UNSAFE, I will immediately take all precautions to avoid the unsafe area and further.

I fully understand and acknowledge that:

• There are numerous known and unknown risks and dangers associated with participation in TRAINING events and activities, and entering Restricted Areas, which could result in bodily injury, partial and/or total disability, paralysis, and/or The known risks and dangers include, without limitation, being struck by firearm fire, malfunctioning or defective firearms or other equipment, slips, trips, falls, and exposure to and/or contracting any type of bacteria, virus, or infectious disease, including without limitation COVID-19. 
• The social and economic losses and/or damages, which could result from these risks and dangers described above, could be severe.
• All these known and unknown risks and dangers may be caused by the action, inaction or negligence of the participant or the action, inaction or negligence of others, including without limitation the Releasees, as defined below.

I voluntarily accept and assume all such risks and danger and responsibility for the losses and/or damages resulting from such injury, disability, paralysis, or death, however caused and whether caused in whole or in part by the negligence of the Releasees, as defined below.

I HEREBY FULLY RELEASE, WAIVE, DISCHARGE AND COVENANT NOT TO SUE 540, LLC; Compass Security LLC; any facility used by the participant or to conduct the TRAINING event or program, including its owners, managers, promoters, lessees of premises, premises and event inspectors, underwriters, consultants and others who give recommendations, directions, or instructions to engage in risk evaluation or loss control activities regarding the facility or TRAINING events held at such facility; and all of these persons and entities’ owners, members, managers, shareholders, directors, officers, agents, employees, representatives, insurers, affiliates, successors, and assigns (collectively, “Releasees” and individually “Releasee”) FROM ALL LIABILITY (including to the undersigned, the undersigned’s minor participant, and their estates, personal representatives, assigns, executors, heirs and next of kin) FOR ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LAWSUITS, LOSSES OR DAMAGES, OF ANY KIND, TYPE, OR NATURE, INCLUDING WITHOUT LIMITATION, DEATH, BODILY INJURY, AND/OR PROPERTY DAMAGE, ARISING OUT OF OR RELATING TO THE EVENT(S) CAUSED, OR ALLEGED TO BE CAUSED, IN WHOLE OR IN PART BY THE NEGLIGENCE (BUT NOT THE GROSS NEGLIGENCE OR RECKLESSNESS) OF THE RELEASEE(S) OR OTHERWISE.

 I HEREBY acknowledge that THE ACTIVITIES OF THE TRAINING EVENT(S) ARE VERY DANGEROUS and involve the risk of serious injury and/or death and/or property damage. I also acknowledge that INJURIES SUSTAINED MAY BE COMPOUNDED OR INCREASED BY NEGLIGENT RESCUE OPERATIONS OR PROCEDURES OF THE RELEASEES.

During the course of training I acknowledge that during both indoor and outdoor activities, there may be potential environmental hazards, including but not limited to uneven or unstable terrain, extreme weather conditions, bees, wildlife, snakes, scorpions, and other insects. I understand the risks associated with these hazards and agree to take necessary precautions. I also acknowledge that it is my responsibility to bring any necessary allergy medication or other medical supplies to manage any allergies or health conditions I may have.

THE UNDERSIGNED further expressly agrees that the foregoing release, waiver, and indemnity agreement is intended to be as broad and inclusive as is permitted by the law of the State in which the event is conducted and that if any portion is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

If, despite this release, the minor participant makes a claim against any of the Releasees, the parent and/or legal guardian shall reimburse the Releasees for any money which they have paid to the minor participant, or on his or her behalf, and shall fully indemnify and hold the Releasees harmless.

I understand that the above-mentioned TRAINING activities are voluntary in nature.

Unprofessional conduct, discourtesy towards others, negligent discharges, multiple or grievous safety violations, negative attitude or inhibiting group progress are all grounds for removal from training.  540 reserves the final say in all matters.

The Sig Sauer P320 handgun—along with all of its models and variants—is strictly prohibited during live-fire range training and is banned from all 540 Training classes for safety reasons.

ANY holster with a trigger finger-initiated button retention device on the side of the holster (for example, Blackhawk Serpa CQC II model holsters), are strictly prohibited during live-fire range training and are banned from all 540 Training classes for safety reasons.

Reloaded or handloaded ammunition is strictly prohibited during live-fire range training and is banned from all 540 Training classes for safety reasons. All ammunition must be factory new.

I HAVE READ THIS RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK AND INDEMNITY AGREEMENT, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY SIGNING IT, AND HAVE SIGNED IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT, ASSURANCE, OR GUARANTEE BEING MADE TO ME AND INTEND MY SIGNATURE TO BE A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWED BY LAW.

MY SIGNATURE BELOW CONSTITUTES MY AGREEMENT TO ALL AFFIRMATIONS, REPRESENTATIONS, TERMS, CONDITIONS, AND LIMITATIONS OF LIABILITY CONTAINED HEREIN.

AUDIO/PHOTO/VIDEO MEDIA RELEASE FORM

WHEREAS, 540, LLC (“Company”), in connection with marketing efforts, generates online content, including social media posts on Facebook, Instagram, and Twitter (“Online Content”).

WHEREAS, the undersigned agrees to allow the Company to use my image, likeness, and voice in said Online Content.

NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy is hereby acknowledged, I agree as follows:

I hereby grant permission to the Company and its agents or employees to:

• Use photographs and/or video and audio taken of me for use in the Online Content
• Use of my image, likeness, and voice for all program promotion, materials, and any other purposes in connection with the Company
• Edit, copy, exhibit, and publish my image, likeness, and voice without inspecting or approving of the finished product where in my likeness appears

I hereby agree to release, defend, and hold harmless the Company and its agents or employees, including any third party publishing and/or distributing the finished product in whole or in part, whether on paper, via electronic media, or on websites, from any claim, damages, or liability arising from or related to the use of the photographs/video, including but not limited to any misuse, distortion, blurring, alteration, optical illusion, or use in composite form, either intentionally or otherwise, that may occur or be produced in taking, processing, reduction, or production of the finished product, its publication, or distribution.

I understand that Company is and shall be considered the author and, at all stages of completion, the sole and exclusive owner of the Online Content and all right, title and interest therein (the “Rights”).  The Rights shall include without limitation all copyrights, neighboring rights, trademarks and any and all other ownership and exploitation rights in the Online Content now or hereafter recognized in any and all territories and jurisdictions.

I hereby grant Company the right to change, add to, take from, translate, reformat or reprocess any material that I appear in in connection with the Online Content in any manner Company may in its sole discretion determine. 

I understand that this Agreement does not create a relationship as between Company and me, including but not limited to an independent contractor relationship, employer/employee relationship, partnership, or joint venture by the parties hereto and neither party is the agent of the other. 

I understand that I will not receive any compensation, unless listed otherwise below, for my participation in the Online Content, including but not limited to fixed sums, royalties, or future payments.  I freely participate in this Online Content of my own free will without compensation.

This consent is given indefinitely.  Consent may be withdrawn, at any time, in writing to the Company.

This Agreement shall be governed and construed in accordance with the laws of the State of Oregon applicable to contracts entered into and fully performed therein.

TRI-COUNTY GUN CLUB

ADULT GUEST WAIVER

Tri-County Gun Club (hereinafter “TCGC”) reserves the right to refuse service to anyone for any reason in accordance with Title VII of the Civil Rights Act of 1964 and all other applicable statute.

No one may point or otherwise orient a loaded firearm in a manner which directs the muzzle above the impact berm material in the Action Bays or any of the ‘square’ Rifle Ranges. A loaded firearm is defined as one that has a magazine inserted and/or does not have a chamber flag inserted.

No one may handle an uncased firearm in any of the parking areas on TCGC’s property. Firearms must be cased in order to move a firearm from a vehicle to a Shooting Bay or a bench of a ‘Square’ Range. Uncased firearms may only be handled on the designated firing line.

TCGC does not allow training (on its property) for members of organizations that advocate violence (within the borders of the U.S.) to promote political or social agendas. i.e., ANTIFA, etc.

I acknowledge and understand that TCGC permits the use of firearms and allows shooting, educational, recreational and range facilities maintenance activities, related to the shooting and use of firearms, and general operations to be conducted on its property (hereinafter "TCGC Activities").

I further acknowledge and understand that being present for any reason on TCGC property during which time TCGC Activities are being conducted including, but not limited to, participating in, or observing TCGC Activities, has risks and dangers associated with the use of firearms.

In consideration for use of TCGC's property for any reason, including participating in or observing TCGC Activities, I accept full responsibility for any personal injury, death and/or property damage to myself that may result from such use, and I release, acquit and forever discharge TCGC, its affiliates (including, but not limited to Tualatin Valley Sportsmen's Club), successors, assigns, officers, directors, representatives, agents, employees, and volunteers (hereinafter "Released Persons ") of and from any liabilities, claims, demands, causes of action, suits (whether in tort, contract and/or any liability under statute), damages, costs, expenses, and attorney's fees, arising out of the Released Persons' conduct, act and/or omission of any kind, including any negligent conduct, act and/or omission.

I attest that I am not legally prohibited from owning or possessing a firearm.
